Retailer Terms and Conditions
("C-Top") is provided by Core Communication Retail Limited ("Core") of 956 Buckingham Avenue, Slough SL1 4NL, Company Registration number 8301089 to Retailers for the purposes of applying mobile top-up credit to customers' mobile SIMs which may include eSIMs provided by Core.
Core provides C-Top access to Retailers via a web portal. If Core supplies C-Top access to the Retailer via any form of API these will be subject to additional terms.
By using C-Top, the Retailer accepts these Terms and Conditions.
1) Core shall use reasonable endeavours to:
a) provide the Retailer with access to the C-Top web portal ("C-Top Portal") via a top-up account ("Retailer Account") with an administrator log-in and password enabling the Retailer to log-in to the Retailer Account using the C-Top Portal and create non-administrative user accounts and passwords (the administrator user and other users being "Retailer Users");
b) enable the Retailer Users to top-up the SIM accounts of third parties;
2) Core and the Retailer may also have agreed that Core will allow the Retailer to use C-Top to sell either Amigo eSIMs and/or some or all of Core’s available Network eSIMs to customers;
3) Retailer is responsible for:
a) all Transactions (a “Transaction” being a mobile top-up or sale of Amigo or Network eSIM) made on the Retailer Account, irrespective of fraud or error;
b) keeping secure all Retailer User account log-ins and passwords;
c) providing its own internet access and connectivity to the C-Top Portal;
d) providing, managing and keeping secure and virus-free its systems and terminals used in connection with the Retailer Account, C-Top Portal and Transactions and immediately notifying Core if it knows or suspects of compromise of the same;
e) selling top-ups at face-value (always provided this shall not prevent Retailer from adding a customer transparent administrative charge);
f) providing customer Transaction receipts in a format specified by Core;
g) not retaining or using any PINs supplied for end user customer use;
h) preventing fraudulent or improper use of the Retailer Account and/or C-Top Portal;
i) at all times acting properly and in good faith;
j) providing Core with all such information and assistance as may be required by Core, its suppliers and/or the mobile networks;
k) indemnifying Core against any breach of these Terms and/or claims made by its suppliers and/or the mobile networks; and
l) if VAT-registered, entering and complying with a VAT self-billing agreement to enable the netting of Payment Commission against sums due to Core.
4) If the Retailer is authorised, at Core’s absolute discretion, to sell Amigo eSIMs or Network eSIMs then the following additional terms shall apply:
a) in selling eSIM products, Retailer acts as an agent on Core’s behalf in that Core contracts directly to the customer in a Transaction facilitated by the Retailer;
b) it shall be at Core’s absolute discretion which eSIM products the Retailer may sell;
c) in determining the correct VAT treatment of the Transaction, the parties acknowledge that reliance is placed on the Retailer in determining the “place of belonging” of the customers such that the correct VAT rate can be applied to the Transaction and the Retailer fully indemnifies Core in respect any error or omission made in this respect;
d) for every eSIM Transaction, Retailer shall take payment on behalf of Core and Core shall decrement the Retailer C-Top account for the value of the Transaction. Core will then immediately credit the Retailer’s account with the value of the agreed commission earned on the Transaction;
e) Retailer will provide the VAT receipt as determined by Core, to the customer and shall provide such assistance to the customer at the point of sale as may be necessary to activate the eSIM;
f) prior to initiating a Transaction, Retailer will ensure that the mobile phone onto which the customer wishes to install the eSIM, is eSIM compatible;
g) Retailer will provide customers details of how they may access after-sales support for either Amigo or Network eSIMs;
h) in providing an Amigo eSIM or Network eSIM to a customer, the Retailer will bring the specific customer terms relating to the eSIM to the customer’s attention.
5) Core may suspend and/or terminate Retailer’s access to the C-Top Portal if:
a) Retailer breaches any provisions of this Agreement (including failure to make advance payment or comply with credit requirements);
b) if Core reasonably suspects fraud or misuse; and/or
c) if so directed by its suppliers and/or mobile network operators.
6) If Core has agreed to pay Retailer commission on top-ups or eSIM sales made through the portal, this commission will be paid at the agreed rate. Core has the right to amend commission payable with immediate effect.
7) Core may withhold commission payments if it has any reason for suspecting that any Transaction is either fraudulent or contrary to Core’s policies or those of its suppliers. If commission has already been paid on these Transactions, Core has the right to claw back wrongly paid commission from future payments of commission.
8) If Retailer wishes to raise a dispute in relation to any Transaction, it shall do so in writing within 7 seven days setting out all relevant information. Core shall investigate in good faith and communicate its resolution to Retailer. Core’s resolution of the dispute shall be final.
9) These terms prevail unless the Retailer has signed specific terms with Core relating to C-Top in which case Retailer-specific terms will take precedence in any conflicts.
